Terms of Service
Effective date: 2 October 2026
Version: 1.0.0
1. Agreement
These Terms of Service (“Terms”) govern access to and use of Txpass at https://txpass.app/, including the website, documentation, account and publisher dashboards, facilitator API, and related open-source client packages we publish (the “Service”).
The Service is operated by Adam David McCartney trading as Perpetual Data Platforms (ABN 37 924 741 238) (“we”, “us”, “our”), an Australian sole trader. The product brand is Txpass.
The business name Perpetual Data Platforms is registered with ASIC against ABN 37 924 741 238. Txpass is the product brand for the service at txpass.app. ImprintAI is a separate product of the same operator and has its own terms.
By connecting a wallet, calling the facilitator API, publishing a product, installing @txpass/* packages for use with our hosted facilitator, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. The Service
Txpass is a non-custodial identity and delegation rail for API access. In summary, it lets a human approve an agent (or use their own wallet identity) so that short-lived session tokens can be minted for a named product and scope, which a publisher can verify locally via JWKS — without placing a long-lived shared API key in the agent.
Features may include:
- wallet-authenticated account and publisher dashboards;
- entitlements (including free auto-enrol and optional on-chain BSV receipt activation where configured);
- agent policies, one-off delegations, connect / pairing codes, and revocation;
- session minting and public JWKS / protocol discovery;
- documentation and open-source SDKs / CLI (
@txpass/agentand related packages).
Txpass is not a key vault, not a custodial wallet, and not a reverse proxy for publisher APIs. We do not hold your wallet or agent private keys. We do hold the facilitator key that signs session JWTs (see section 7).
Early access features may change or be withdrawn. Plan limits, products, and pricing described on the site may be draft or temporary.
3. Eligibility and accounts
You must be at least 18 years old and capable of entering a binding contract.
Your Txpass account identifier is your wallet identity public key. You are responsible for:
- control of the wallet (and any passkey or other authenticator we may add later) used to sign requests;
- all activity under your identity, including agents you enrol and publishers / products you operate;
- keeping agent private keys confidential on the machines that hold them;
- not asking any person or automated system to paste a wallet seed, WIF, or private key into chat, tickets, or third-party tools.
We may refuse, suspend, or revoke access (including policies, sessions, or publisher products) for suspected abuse, non-payment (when fees apply), or breach of these Terms.
4. Plans, fees, and taxes
During early access, Txpass may be offered free of charge. Draft pricing on the site is not an offer until we say otherwise.
If and when we charge:
- fees and billing terms will be described on the Service or at checkout;
- unless stated otherwise, prices are in USD and exclusive of taxes;
- you are responsible for taxes applicable to your purchase;
- GST: we are not currently registered for GST. If that changes, invoices and pricing display may be updated accordingly.
Optional on-chain entitlement receipts, when enabled for a product, are paid to the publisher’s pay-to address. Txpass does not take custody of those end-user payments. Publisher billing of their own end users (Stripe or otherwise) is outside these Terms.
While Txpass is free during early access there are no fees to refund. If and when paid plans apply: no refunds for unused quota or time already elapsed, except where required by the Australian Consumer Law.
Nothing in these Terms excludes rights you may have under the Australian Consumer Law that cannot be excluded.
5. Acceptable use
You must not use the Service to:
- break any applicable law;
- circumvent scopes, daily caps, rate limits, revocation, or other security controls;
- impersonate another identity or present session tokens you are not entitled to use;
- probe, overload, or disrupt the Service except as allowed by law (ordinary security research against your own systems is fine);
- use Txpass to attack or abuse publisher APIs;
- resell or provide the hosted facilitator as a managed offering without our prior written consent (ordinary use of the open-source verifier / client libraries in your own products is allowed under their licences);
- upload or store unlawful content in labels or other free-text fields.
We may investigate and remove access where we reasonably believe these rules are breached.
6. Roles: end users, agents, and publishers
6.1 End users (wallet holders)
You may enrol agents, set scopes and caps, approve connect requests, and revoke access. You are responsible for the agents you approve and for reviewing scopes before signing.
6.2 Agents
Software acting under a policy or delegation must stay within granted scopes. An agent key is not a human account; compromising the machine that holds it can allow session minting until revocation takes effect and outstanding JWTs expire.
6.3 Publishers
Publishers configure products and routes, verify session JWTs locally, and remain responsible for their own API, billing, and user-facing terms. Approving a product for catalogue listing does not transfer ownership of your API to us. You must not use the publisher dashboard to attempt to harvest other users’ personal information beyond the aggregates we intentionally show.
7. Sessions, revocation, and trust model (important)
- Session JWTs are short-lived (publisher- and policy-constrained; typically up to 60 minutes). Publishers verify them locally using our JWKS without calling us on every request.
- Revocation stops issuance of new sessions for a revoked agent, policy, or entitlement. JWTs already issued remain valid until expiry. Account UI and docs should be read with that latency in mind.
- Facilitator trust: Txpass signs session JWTs. A compromise of our signing key would allow minting of sessions for entitled identities until we rotate keys. We publish rotation / runbook practices for operators; you should evaluate this trust assumption before relying on Txpass for high-assurance workloads.
- Local verification: we are not a continuous proxy; we do not see publisher request bodies.
Open-source packages are licensed separately (Apache-2.0 for the published @txpass/* packages unless a package states otherwise). These Terms cover use of our hosted facilitator and site.
8. Optional on-chain receipts
Where a product enables paid BSV receipts:
- you are responsible for wallet fees, correct pay-to, and understanding that confirmed chain data is effectively permanent;
- we verify receipts against published rules; we do not guarantee chain availability, fee markets, or third-party indexers;
- Txpass does not custody end-user payment funds destined for a publisher pay-to.
9. Intellectual property (our materials)
The Service software we host, branding, documentation site design, and related materials are owned by us or our licensors. You may not copy or misuse them except as needed to use the Service under these Terms or under an applicable open-source licence for published packages.
“Txpass” and “Perpetual Data Platforms” are used as product and trading identifiers of the operator named in section 1.
Feedback you provide may be used to improve the Service without obligation to you.
10. Privacy
Personal information is handled as described in our Privacy Policy. On-chain publication may make certain metadata public; see the Privacy Policy.
11. Third-party services
The Service may depend on third parties (hosting, database, wallets, blockchain networks, npm, email). Their terms apply to your use of those services. Publisher APIs you call with a Txpass session are third-party services. We are not responsible for outages or acts of third parties beyond our reasonable control.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of uninterrupted availability, error-free operation, or fitness for a particular purpose.
Where the Australian Consumer Law implies non-excludable guarantees, our liability for breach of those guarantees is limited (at our option) to resupplying the services or paying the cost of resupply, to the extent permitted by law.
Txpass does not guarantee that a publisher will accept a session, that an agent will behave safely, or that revocation will interrupt in-flight JWTs before expiry.
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive loss, or loss of profits, data, goodwill, or business opportunity.
Our aggregate liability arising out of or in connection with the Service or these Terms in any 12-month period is limited to the greater of: (a) the fees you paid us for the Service in that period; or (b) USD $100.
Nothing limits liability that cannot be limited under applicable law (including for fraud or certain ACL rights).
14. Indemnity
You indemnify us against claims, losses, and costs arising from your use of the Service, your agents, your publisher API, your on-chain publications, or your breach of these Terms, except to the extent caused by our wilful misconduct or negligence (as applicable under law).
15. Suspension and termination
You may stop using the Service at any time and revoke agents or policies you control. To request deletion of residual records linked to your identity public key, contact support@perpetualdataplatforms.com.au or privacy@perpetualdataplatforms.com.au (see the Privacy Policy).
We may suspend or terminate access immediately for breach, risk to the Service or others, legal requirement, or non-payment. Provisions that by nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) survive termination.
16. Changes to the Service or Terms
We may modify the Service and these Terms. Material changes will be indicated by updating the effective date and, where appropriate, additional notice on the site or by email. Continued use after changes take effect constitutes acceptance where permitted by law.
17. Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia. Courts of New South Wales have non-exclusive jurisdiction, without preventing you from relying on mandatory consumer protections in your place of residence where they apply.
18. General
If a provision is unenforceable, the remainder stays in effect. These Terms and the Privacy Policy are the entire agreement for the hosted Service. You may not assign your rights without our consent; we may assign to a successor operator. No waiver is effective unless in writing. Open-source package licences are separate agreements for those packages.
